IonQ has closed its $1.8 billion acquisition of SkyWater Technology, the largest exclusively U.S.-based semiconductor foundry, after clearing final regulatory approval including early termination of the FTC's review. The deal, first announced in January 2026, makes IonQ the only vertically integrated full-stack quantum computing company in the world, combining chip design, fabrication, and advanced packaging under one domestic roof.

Under the deal terms, SkyWater shareholders received $15.00 in cash plus $20.00 in IonQ stock per share, a 38% premium over SkyWater's 30-day average price. SkyWater, which holds DMEA Category 1A Trusted Foundry accreditation and operates facilities in Minnesota, Florida, and Texas, will continue running as a wholly owned subsidiary under its existing name and keep serving its existing foundry customers.

IonQ says the integration secures a fully scalable, domestic supply chain for its chip-focused quantum roadmap and pulls forward functional testing of 200,000-physical-qubit processors, aimed at supporting more than 8,000 logical qubits, to 2028. The combined company holds its first joint earnings call and an investor day is set for September 8, 2026.
