> Meta will issue non-voting shares as a stock dividend to fund AI spending without diluting founder control, as Q3 costs jumped 68%.

Meta plans to create a new class of non-voting shares and distribute them to existing shareholders as a stock dividend, CFO Susan Li confirmed on the Q3 earnings call after Semafor first reported the plan. She described it as a "new class of non-voting capital stock."

The shares could be used to raise capital, pay employees, fund acquisitions and for general corporate purposes. Meta says the structure preserves the voting power of Class A and B holders and its founder-led control. Q3 revenue reached $64 billion, up 26% year over year, while costs and expenses rose 68%.

The move shows how much funding the AI race demands. Meta has released several Muse models and a coding agent, and Mark Zuckerberg said more than 10 million people in the US and Canada set up Muse personal agents in about six weeks. Meta also flagged ongoing regulatory scrutiny and youth-related trials in the coming months.
